Board Opportunity Overview
The EORC Board of Directors provides strategic leadership and governance oversight in support of the organization’s mission and long-term sustainability.
Board members help guide organizational direction, ensure strong governance, and support EORC in continuing to deliver high-quality, community-based services that respond to evolving local needs.
By joining the Board, you will play a meaningful role in strengthening community well-being and supporting equitable access to services across Ottawa’s east end.
Who We Are Looking For
We are seeking community-minded individuals who share EORC’s commitment to community well-being and social impact.
Ideal candidates bring strategic thinking, sound judgment, and a collaborative approach to governance. They are respectful, inclusive, and able to work effectively with people from diverse backgrounds and perspectives. They communicate with integrity, maintain confidentiality, and demonstrate professionalism and accountability in their role.
Board members should be comfortable helping guide the organization through change and growth as community needs evolve.
Priority Skills and Experience
At this time, we are particularly interested in candidates with experience or expertise in:
- Accounting, finance or audit
- Human resources and organizational development
- Communications, marketing and public engagement
- Government relations and stakeholder engagement
We also welcome individuals with skills and/or knowledge in:
- Board Governance and nonprofit leadership
- Law or legal governance
- Fundraising, philanthropy and resource development
- Information technology and cybersecurity
- Public policy and system-level planning
- Community development
- Health and social services
- Rural community issues and perspectives
We strongly encourage applications from individuals whose backgrounds and lived experiences reflect the diversity of the communities we serve.
Time Commitment
Board members typically:
- Attend approximately 6 to 8 Board meetings per year;
- Attend the Annual General Meeting;
- Serve on at least one Board committee; and
- Participate in occasional special meetings, planning sessions, and Board development activities.
The average time commitment is approximately 4 to 8 hours per month.
Board meetings are generally held in the evening and may take place in person, virtually, or in a hybrid format.
Term of Office
Directors are elected for a two-year term and may serve up to three consecutive terms, in accordance with EORC’s by-laws.
Compensation
This is a volunteer position. Directors serve without remuneration.
Eligibility Criteria
In accordance with EORC’s by-laws and applicable legislation, individuals seeking election to the Board of Directors must meet the following requirements:
- Be legally eligible to serve as a Director of a not-for-profit and registered charity in Ontario;
- Meet the requirements of applicable legislation, including the Ontario Not-for-Profit Corporations Act, the Income Tax Act, and Canada Revenue Agency rules governing charities;
- Consent to participate in Board meetings held electronically, in accordance with the by-laws;
In addition, the composition of the Board must meet the following governance requirements:
- A majority of Directors must reside within the Corporation’s catchment area, as defined by the Board;
- At least thirty percent (30%) of Directors must be members of the francophone community;
- The Board shall seek to ensure that its composition reflects the diversity and lived experiences of the communities served by EORC.
Conditions of Appointment
The following may be required as part of the appointment process and are not eligibility criteria under the by-laws:
- Successful completion of a criminal record check, if appointed;
- Submission of a signed acceptance of appointment to the Board of Directors; and
- Agreement to comply with EORC’s policies, by-laws, and governance practices upon appointment.
Role and Responsibilities of the Board
On behalf of the members, the Board of Directors is responsible for ensuring the effective governance and long-term sustainability of the EORC.
This includes overseeing the organization’s strategic direction, financial stewardship, legal and regulatory compliance, and continued fulfillment of its mission and vision.
The Board may adopt policies, directives, and procedures that are consistent with EORC’s by-laws and support the effective operation of the organization. The responsibilities of the Board include, but are not limited to:
- Providing strategic leadership and setting organizational priorities;
- Overseeing the organization’s financial health and sustainability;
- Ensuring strong governance practices and adherence to the by-laws;
- Hiring, supporting, and evaluating the Executive Director;
- Promoting accountability, transparency, and ethical decision-making;
- Preparing for and actively participating in Board meetings and the Annual General Meeting;
- Monitoring compliance with applicable legislation, regulations, and contractual obligations;
- Participating in Board development and fostering a respectful, collaborative, and effective Board culture;
- Serving as ambassadors for EORC within the community; and
- Fulfilling fiduciary duties by acting honestly, in good faith, and in the best interests of the organization.
